1. Acceptance of These Terms

These Terms of Service govern your access to and use of the website at liuzitrade.buzz and the panel desk services offered by HeNan YaDian Intelligent Technology Co., Ltd. By visiting this website, contacting our desk, or engaging us for a job, you agree to be bound by these terms. If you do not agree with any part of them, please do not use the website and do not engage our services.

These terms apply alongside any separate written agreement that you sign with us for a particular project. Where a signed agreement conflicts with these terms, the signed agreement takes priority for that project. For general browsing of the site and for inquiries that do not become a project, these terms are the whole agreement between you and us regarding the website.

We may update these terms as described in section 19. Your continued use of the website after an update takes effect confirms your acceptance of the revised terms.

2. Definitions

In these terms, certain words carry a specific meaning. We, us and our refer to HeNan YaDian Intelligent Technology Co., Ltd. You and your refer to the person or organization that uses the website or engages our services. The website means the pages published at liuzitrade.buzz. The services means the panel desk work we describe on the services page, including point sheet bays, circuit note runs, buyer letter desks, panel windows, loop review rounds and bench sittings. A project means a piece of work that we agree to carry out for you under a quotation or a signed agreement. Content means text, images, drawings, point sheets, circuit notes and other material that appears on the website or is produced during a project.

The developer name LiuZi Trade appears on this site as an identifier for the digital build and maintenance of the website. It is a label for the build team and does not create a separate legal entity, contract or obligation. All contractual responsibility under these terms rests with HeNan YaDian Intelligent Technology Co., Ltd.

3. Eligibility and Authority

You may use this website only if you are able to form a binding contract under the law that applies to you. If you use the website on behalf of a company or another organization, you confirm that you have the authority to bind that organization to these terms. If you do not have that authority, please do not submit an inquiry or accept a quotation on behalf of the organization.

Our services are aimed at businesses and professional users. We do not knowingly enter into a project with a person who is not old enough to form a contract, and we may ask for evidence of authority before we start work. If we discover that a person lacked the authority to engage us, we may pause or end the project and will not be liable for any delay caused by that lack of authority.

4. Our Services

HeNan YaDian Intelligent Technology Co., Ltd. provides computer integrated systems design and related professional, scientific and technical services from its desk at No 3-72, Zone 6B, Huanan City, Longhu Town, Xinzheng City, ZhengZhou - 450000, China (CN). The services we describe on this website are an overview, not a fixed offer. The exact scope of any work is set out in a quotation or a signed agreement that refers to the specific site, the specific devices and the specific tests that will be applied.

We may decline a request for work without giving a reason, subject only to any duty we owe under applicable law. We may also recommend that a particular part of a job be carried out by another specialist, and where we do so we will tell you clearly that the recommendation is made on our professional judgment and not as a promise that the other specialist will perform to a particular standard.

Descriptions of our process on the website, including the weekly panel window and the bench sitting, describe how we normally work. We may vary the process for a particular project where the site conditions, the client timetable or the technical requirements make a variation sensible. Any material variation will be recorded in the project documents.

5. Use of the Website

You agree to use the website lawfully and in a way that does not harm the site or the people who use it. In particular, you agree not to interfere with the operation of the site, not to attempt to gain unauthorized access to any system, not to upload malicious code, not to scrape the site in a way that degrades its performance, and not to use the site to send spam or unlawful material.

You may print or download pages for your own reference and for the purpose of evaluating our services. You may not copy, republish or resell substantial parts of the site without our written permission. You may not remove any notice of ownership from a page or a document that you download.

We may restrict or suspend access to the website for maintenance, security or any other operational reason. We try to keep the site available, but we do not promise that it will never be interrupted, and we are not liable for a loss caused by an interruption that is outside our reasonable control.

6. Accounts and Credentials

Some parts of our service may in the future require an account. If we give you an account, you are responsible for keeping the credentials secure and for all activity that occurs under them. You agree to tell us promptly if you believe that a credential has been compromised. We may suspend an account if we believe that it has been used in breach of these terms.

We do not ask for your password by email, and you should treat any message that does as suspicious. If you receive a message that appears to come from us but asks for a password, do not reply to it and report it to the email address in section 22.

7. Inquiries and Quotations

An inquiry sent through the contact form or by email is an invitation to discuss a job, not a binding order. We may reply with questions, a request for drawings, or an offer to visit the site. A quotation that we send is valid for the period stated in it, and if no period is stated it is valid for thirty days from the date on which it is issued.

A quotation is based on the information available at the time it is prepared. If the site turns out to differ from the description, or if the scope changes, we may revise the quotation and will explain the reason for the revision. We will not start billable work on a revised scope until you have accepted the revised quotation in writing.

Prices are stated in the currency shown on the quotation and may exclude taxes, travel, shipping and third party charges unless the quotation says otherwise. Where a currency conversion is needed, we will use a rate that we disclose to you before the invoice is issued.

8. Project Engagements

A project begins when you accept our quotation in writing and, where the quotation requires it, pay any deposit. The project documents set out the scope, the deliverables, the timetable and the acceptance tests. We will carry out the work with the reasonable skill and care expected of a professional practice in our field.

Where a project includes a bench sitting, acceptance of the panel depends on the client being able to operate the functions set out in the point sheet without our help. If the client cannot do so because of a defect in our work, we will correct the defect at no extra charge. If the client cannot do so because of a change in the client requirements or because the client did not make a necessary person available, the extra work will be treated as a variation.

We may use subcontracted crews or specialist partners for part of a project. We remain responsible for the work we subcontract to the extent set out in the project documents, and we choose our partners with care.

9. Fees and Payment

You agree to pay the fees set out in the quotation or the signed agreement in accordance with the payment schedule stated there. Unless the documents say otherwise, invoices are due within thirty days of the invoice date. We may charge interest on an overdue amount at the rate permitted by applicable law, and we may suspend work on a project while an undisputed invoice remains unpaid.

If you dispute part of an invoice, please pay the undisputed part on time and tell us about the disputed part in writing. We will work with you to resolve the dispute promptly. A dispute about one invoice does not entitle you to withhold payment of a different undisputed invoice.

You are responsible for any taxes that apply to the services, other than taxes on our own income. Where we must collect a tax, we will show it as a separate line on the invoice. Bank charges for an international transfer are borne by the party that sends the payment unless the documents say otherwise.

10. Client Responsibilities

A panel desk can only do good work when the client provides good information and access. You agree to give us accurate and complete information about the site, the devices and the functions you want, and to tell us promptly if anything changes. You agree to provide safe access to the site for our crew, to obtain any permit or consent that the work requires, and to make the people who can approve a decision available when a decision is needed.

You agree not to alter a panel, a drawing or a circuit note after we have handed it over without telling us. If you do alter it and a fault later appears, we may need to reopen the review, and the cost of that additional work will be treated as a variation. You also agree to keep the test records that we hand over so that a future engineer can trace a fault without starting from nothing.

Where you supply equipment or drawings, you confirm that you have the right to use them and that they do not infringe the rights of another person. We are not responsible for a defect in a component that you supplied if we could not reasonably have detected it during a normal bench test.

11. Intellectual Property

All content on this website, including the text, the layout, the styling and the small CSS drawings of switch panels and junction boxes, belongs to HeNan YaDian Intelligent Technology Co., Ltd. or is used with permission. You may not copy, reproduce, distribute or create a derivative work from that content without our written permission, except where the law allows it for a fair purpose such as quotation or review.

Working documents that we create for a project, such as point sheets, circuit notes and buyer letters, are prepared for the client. Unless the project documents say otherwise, the client receives a licence to use those documents for the site to which they relate, while we retain the right to keep a copy for our records and to reuse general methods and templates that do not contain the client confidential information. The brand names, logos and marks of each party remain the property of that party.

If a client supplies a drawing or a design that belongs to a third party, the client is responsible for making sure that we are allowed to use it. We will stop using any material if we are told that it infringes a right, and we will cooperate with a reasonable request to remove it.

12. Confidentiality

Each party may receive information from the other that is not public. Each party agrees to keep that information confidential, to use it only for the purpose of the project, and to disclose it only to people who need it and who are bound by a similar duty of confidence. This duty does not apply to information that is already public, that the receiving party already had without a duty, that the receiving party develops independently, or that the receiving party is required to disclose by law.

If the law requires a disclosure, the party that must disclose will, where it is lawful to do so, give the other party notice in advance so that a protective order can be sought. The duty of confidence continues for three years after a project ends, or for as long as the information remains confidential if that is longer.

13. Warranties and Disclaimers

We warrant that we will carry out our services with reasonable skill and care and in line with the project documents. If a defect in our work appears within the warranty period stated in the project documents, and you tell us promptly, we will correct the defect at no extra charge for our time and labour. This warranty does not cover a defect caused by a client change, by misuse, by a component that a third party supplied, or by normal wear.

Except as expressly stated in these terms or in a signed agreement, the website and its content are provided on an as is basis. We do not warrant that the website will be free of errors, that it will always be available, or that any information on it is complete for a particular purpose. Nothing on the website is technical advice for a particular site, and you should not rely on a general description in place of a proper project assessment.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusion in this section applies only to the extent permitted by law, and your statutory rights are not affected.

14. Limitation of Liability

To the extent permitted by law, neither party will be liable to the other for an indirect or consequential loss, for a loss of profit, for a loss of business or for a loss of data that arises out of or in connection with these terms or a project. Our total liability for a project is limited to the fees that you paid us for that project, or to the amount stated in the signed agreement if the agreement sets a different cap.

Nothing in these terms limits or excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot be limited or excluded by law. Where a limitation is not permitted in your jurisdiction, the limitation applies to the fullest extent that the law allows, and the rest of these terms continue in force.

The parties agree that the limitations in this section reflect a reasonable allocation of risk and that the fees were set on the basis of these limitations.

15. Indemnity

You agree to indemnify HeNan YaDian Intelligent Technology Co., Ltd. against a claim, a loss or a reasonable cost that arises from your breach of these terms, from a misuse of the website, or from a material that you supplied that infringes the right of another person. We agree to indemnify you against a claim that our own content, used as intended, infringes the intellectual property right of a third party.

The party that seeks an indemnity must tell the other party promptly, must give the other party control of the defense where that is reasonable, and must cooperate in the defense. The party that gives the indemnity may not settle a claim in a way that admits fault on the part of the other party without that party written consent.

16. Suspension and Termination

We may suspend or end your access to the website if you breach these terms or if we are required to do so by law. We will give notice where it is reasonable to do so. A suspension does not affect a right that has already accrued, and it does not relieve you of an obligation to pay for work already carried out.

Either party may end a project in accordance with the termination clause of the project documents. If no termination clause applies, either party may end a project by giving thirty days written notice. On termination, you agree to pay for the work carried out up to the date of termination and for any commitment that we cannot reasonably cancel, and we agree to hand over the completed deliverables and the records that belong to you.

Sections that by their nature should survive termination, including the sections on confidentiality, intellectual property, limitation of liability, indemnity and governing law, will continue to apply after a project ends.

17. Third Party Services and Links

The website may link to a third party site or use a third party tool to deliver a page or an email. We do not control those third parties and are not responsible for their content or their practices. A link does not mean that we endorse the destination site. If you choose to use a third party service that you reach from our site, you do so under the terms of that service.

Where a project requires a component, software or service from a third party, we may arrange the purchase on your behalf or ask you to purchase it directly. The terms of the third party supplier will govern that component or service, and our warranty does not extend to a defect that is properly the responsibility of the supplier.

18. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. The Privacy Policy explains what we collect, why we collect it, how we protect it and how you can exercise your rights. By using the website or engaging our services, you acknowledge that you have read the Privacy Policy.

If there is a conflict between these terms and the Privacy Policy on a matter concerning personal information, the Privacy Policy prevails for that matter. A copy of the Privacy Policy is available on this website, and you may request a copy by email if you prefer a different format.

19. Changes to These Terms

We may revise these terms from time to time. When we do, we will update the effective date at the top of the page and, for a material change, we will add a short note describing what changed. A revision applies to a project that is already under way only to the extent that the project documents allow it; otherwise the terms in force when the project began continue to govern that project.

We encourage you to review this page before you begin a new project. If you do not accept a revision, you may stop using the website and may discuss the effect of the revision on an existing project with us in writing.

20. Governing Law and Disputes

These terms are governed by the laws of the People Republic of China, without regard to conflict of law rules. The parties will first try to resolve a dispute through good faith discussion. If a dispute cannot be resolved within thirty days of a written notice, either party may refer the matter to the competent court at the place where HeNan YaDian Intelligent Technology Co., Ltd. is registered, unless a signed agreement names a different forum.

Nothing in this section prevents a party from seeking urgent relief from a court of competent jurisdiction to protect a right that would otherwise be lost. The parties agree that the language of these terms is English and that an English version governs any translation that may be provided for convenience.

21. General Provisions

If a provision of these terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later. You may not assign your rights under these terms without our written consent, while we may assign our rights to a successor entity as part of a reorganization.

These terms, together with the Privacy Policy and any signed project documents, form the entire agreement between the parties on the subjects they cover. A heading in these terms is for convenience only and does not affect the meaning of a clause. A reference to a law includes any amendment or replacement of that law. The website is operated from China, and we make no promise that the content is appropriate or available in every location.

22. Contact Information
